1. What You Are Purchasing

You are purchasing the Living Forward Circle Facilitator Kit from Elaine Lombardi. The Kit provides a framework, facilitator resources, and a ready-to-use website and registration system to help you create and operate your own Living Forward Circle. Your purchase is a license to use these materials for your own Circle business. It is not a purchase or transfer of ownership of the underlying intellectual property, brand, system, or source materials.

2. Your Facilitator License

Your purchase gives you a lifetime, personal, non-transferable license to use the Living Forward Circle materials to plan, prepare for, and facilitate your own Living Forward Circle, in person or online, for as long as you wish at no additional license fee. You may use the name “Living Forward Circle with [Your Name]” for your Circle. You may adapt wording and phrasing to reflect your own voice, provided that the core structure and the no-advice rule remain intact. You may run as many Circles and welcome as many participants as you wish.

3. What Your License Does Not Allow

Your license is for your own use and may not be sold, transferred, assigned, sublicensed, or shared with another facilitator. You may not resell, redistribute, copy, or share the source materials with others. You may not repackage the materials or present them as your own original program. You may not use the Living Forward Circle name or materials in a misleading manner or imply an endorsement, partnership, or affiliation that has not been expressly provided by Elaine Lombardi.

4. Your Circle Is Your Responsibility

You are responsible for how you operate your Circle and for your relationship with participants. This includes participant communications, the experience and conduct of your Circle, any fees you charge, participant refunds, applicable taxes, payment processing, and compliance with laws and regulations that apply to your activities. You are responsible for establishing and maintaining appropriate boundaries and a respectful environment for participants.

5. The Circle Is Not Therapy or Professional Care

Living Forward Circle is designed as a welcoming space for conversation, connection, reflection, and camaraderie. It is not therapy, counseling, medical care, legal advice, financial advice, or another form of professional care. Facilitators must not present the Circle or its materials as professional treatment or advice. Participants are responsible for seeking qualified professional assistance when appropriate.

6. Website and Registration System

The Kit includes access to a ready-to-use website and registration system for your Living Forward Circle. You may personalize the portions provided for your Circle, including your photo, bio, Circle details, and contact information. The underlying website system, templates, technology, code, and Living Forward Circle materials remain the property or licensed property of Elaine Lombardi and/or applicable third-party providers. Your license does not give you ownership of those underlying components. If your facilitator license is terminated because of a violation of these Terms, the website does not necessarily have to be deactivated. However, all references to Living Forward Circle, its name, branding, and materials must be removed from the website and related public-facing materials.

7. Payments and Your Circle Revenue

You may offer your Circle for free or charge a fee of your choosing. If you charge participants, you use your own Stripe, PayPal, or other payment account and receive the revenue from your Circle directly. Elaine Lombardi does not receive a percentage of your Circle revenue. You are responsible for your own payment-processing arrangements, fees, taxes, refunds, and financial obligations.

8. Email Marketing Is Optional

You are not required to use email marketing to operate your Circle. You may personally communicate with your participants and contacts as appropriate. If you choose to use an email marketing provider or other third-party communication service, that service is governed by its own terms and policies. You are responsible for your email practices, contact permissions, privacy practices, and compliance with applicable laws.

9. Intellectual Property

The Living Forward Circle name, framework, written materials, facilitator resources, scripts, prompt library, graphics, and other original materials provided as part of the Kit are owned by Elaine Lombardi or used under applicable rights. Your purchase gives you the license described in these Terms. It does not transfer ownership of the intellectual property to you.

10. Confidentiality and Participant Privacy

You are responsible for protecting participant information and maintaining appropriate confidentiality within your Circle. You should clearly communicate your Circle's expectations regarding confidentiality, sharing, and privacy. You must not disclose participant personal information except as permitted by the participant or required by law.

11. No Guarantee of Results

Elaine Lombardi does not guarantee that you will attract a particular number of participants, earn revenue, replace income, or achieve any particular business or personal result from using the Kit. Your results depend on many factors outside Elaine Lombardi's control, including your efforts, market conditions, audience, pricing, and how you operate your Circle.

12. Third-Party Services

The Kit may use or connect with third-party services, including website, registration, payment, email, video-conferencing, or other technology providers. Those services are provided under the applicable provider's own terms, policies, availability, and pricing. Elaine Lombardi does not own or control third-party services and is not responsible for their changes, interruptions, fees, or policies.

13. Updates and Changes to the Kit

Elaine Lombardi may update, improve, revise, replace, or discontinue portions of the Living Forward Circle materials and resource center from time to time. Reasonable updates do not cancel or shorten your lifetime personal license. Your license continues to apply to the Living Forward Circle materials made available to you under these Terms, subject to the license restrictions described here.

14. Suspension or Termination of the License

Your license may be suspended or terminated if you materially violate these Terms, including by sharing or reselling source materials, misrepresenting the Living Forward Circle brand, or using the materials outside the scope of your license. If the license is terminated, you must stop using the Living Forward Circle name and materials and remove Living Forward Circle references from your website and other public-facing materials. The website itself does not necessarily need to be deactivated.

15. Refunds and Cancellations

All sales are final. Because the Living Forward Circle Facilitator Kit is a digital product and access to the materials and systems is provided following purchase, no refunds are offered after purchase, except where a refund is required by applicable law.

16. Disclaimer of Warranties

The Living Forward Circle Facilitator Kit and related materials are provided on an “as available” basis. To the fullest extent permitted by law, Elaine Lombardi makes no warranties, express or implied, regarding uninterrupted access, fitness for a particular purpose, merchantability, or any particular result from use of the Kit.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Elaine Lombardi will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to your purchase or use of the Kit. Elaine Lombardi's total liability arising from the Kit will not exceed the amount you paid for the Kit, except where such limitation is not permitted by law.

18. Indemnification

To the fullest extent permitted by law, you agree to be responsible for claims, losses, liabilities, damages, costs, and expenses arising from your operation of your Circle, your relationship with participants, your violation of these Terms, or your unlawful or unauthorized use of the Kit or Living Forward Circle materials.

19. Independent Facilitator Relationship

You operate your Circle independently. Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, agency relationship, or other legal relationship between you and Elaine Lombardi. You may not represent that you are an employee, agent, partner, or authorized representative of Elaine Lombardi.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before initiating formal legal proceedings, the parties agree to first make a good-faith effort to resolve any dispute through direct communication. If the dispute cannot be resolved informally, it may be pursued in a court of competent jurisdiction in California.

21. Changes to These Terms

Elaine Lombardi may update these Terms from time to time. The version in effect on the date of your purchase governs your purchase and license, except that later changes may apply to your ongoing use where required to address legal requirements, security, misuse of the materials, or changes to the Living Forward Circle program.

22. Entire Agreement

These Terms, together with the purchase information and the Living Forward Circle materials and license terms provided with your Kit, constitute the agreement governing your purchase and use of the Kit. If there is a conflict between a general description of the Kit and these Terms, these Terms control with respect to your license and use rights.
